Proposed Transfer of Certain Insurance Policies from U K Insurance Limited (UKI) to Intact Insurance UK Limited (IIUK)

In September 2023, Direct Line Insurance Group (DLG) agreed to sell its brokered insurance to IIUK.

In connection with this transaction, DLG is proposing to transfer approximately 390,000 existing commercial policies from UKI to IIUK by means of an insurance business transfer scheme (Scheme) under Part VII of The Financial Services and Markets Act 2000 (FSMA), a process known as a Part VII Transfer. For a small number of policies, where the policyholders are resident in Jersey, there will also be an equivalent insurance business transfer scheme in Jersey pursuant to the Insurance Business (Jersey) Law 1996.

This process is subject to approval by the High Court of England and Wales and, where relevant, the Royal Court of Jersey. If the proposed transfer is approved, DLG expects the transfer to take place on 1 April 2026.

What is a Part VII Transfer?

A Part VII Transfer is a court-approved legal process that allows insurance policies to be transferred from one insurer to another. It is designed to protect policyholders and ensure all rights and obligations continue without interruption.

For policies issued in or from Jersey, an equivalent transfer will be approved by the Royal Court of Jersey under Jersey law.

Who is affected?

The transfer applies to:

  • Brokered commercial policies underwritten by UKI on or after 1 October 2022, including NIG and FarmWeb branded policies, and certain broker-branded wordings.
  • A small number of multi-year project policies that started before October 2022 and were still live on 1 October 2023.

All other policies remain unaffected.

What does this mean for me?

  • If the Court approves the transfer, IIUK will become your insurer from 1 April 2026.
  • Your cover, terms and conditions will not change.
  • Any claims (current or future) will be handled by IIUK from 1 April 2026.
  • If your policy has already expired, you may still have rights (for example, employers’ liability claims), and these will also transfer to IIUK.
  • You do not need to take any action unless you wish to raise an objection.

Key Dates (expected)

  • Final Court Hearing (UK): 25 February 2026
  • Final Royal Court of Jersey Hearing: 5 March 2026
  • Transfer Effective Date: 1 April 2026 at 00:01

Independent Expert

The Court has appointed Stewart Mitchell (Lane Clark & Peacock LLP) as the Independent Expert.

He has reviewed the transfer and concluded that:

  • The security provided to Policyholders moving to Intact UK will not be materially adversely affected.
  • The security provided to Policyholders remaining with UKI will not be materially adversely affected.
  • The security provided to existing Policyholders of Intact UK will not be materially adversely affected.
  • No material impact on service standards, including claims handling, is expected for any of the groups of Policyholders.

  • Read the Independent Expert’s report and scheme documents.
  • Raise questions or concerns with us directly.
  • Make objections to the Court, in writing or in person.

If you are satisfied with the transfer, you do not need to do anything further.
